These Terms of Use (hereinafter referred to as "Terms of Use") are intended to inform the legal rights and obligations between "B3H Digital Solutions Co., Ltd.", with the Trade Name “Khmer Auction’, as the service provider and "you" as the service recipient. Therefore, please read these Terms of Use carefully for your benefit in receiving services from B3H Digital Solutions Co., Ltd.

By registering and creating your user account on the website https://khmer.auction, you are deemed to have read and thoroughly understood these Terms of Use and accepted all Terms of Use provisions. Therefore, these Terms of Use are legally binding upon you.

1. General Provisions

1.1 The various definitions in these Terms of Use shall be in accordance with those specified in Section 2 and those specifically defined in any part of the Terms of Use.

1.2 We reserve the right to change the Terms of Use, whether in whole or in part, at any time, with such changes taking effect immediately when you register your user account. We will make every effort to notify all service recipients of such changes through email channels, website pages, or other communication channels. You understand that reading and understanding the latest Terms of Use displayed on the website, or sent to you through other communication channels, is your own responsibility.

2. Definitions

"Khmer Auction" or "We" Means B3H Digital Solutions Co., Ltd., with registration number 00030981, located at Bak Srey Village, Koul Commune, Prasat Sambo District, Kampong Thom, Cambodia. "Service Recipient" or "You" means the person who agrees to receive services and is a contracting party with Khmer Auction through the website. "Website" means https://khmer.auction. "Auction Organizer" means Khmer Auction. "Contracting Parties" means Khmer Auction and the service recipient, namely the "Bidder" who participates in item auctions according to these Terms of Use. "Buyer" means the bidder who wins the auction. "Seller" means a person who brings items for sale on the website through auction methods.

3. User Account Creation and Identity Verification

3.1 To use our services, you must create a user account through the website and agree to the Terms of Use. You must provide complete necessary information, and the completion of your new registration means you accept these Terms of Use and are legally bound by them.

3.2 Service recipients who wish to open user accounts may be natural persons or legal entities, with the following identity verification conditions:

(a) For natural persons, you agree to warrant and confirm that:

(1) You are at least 18 years old and have the complete legal capacity to enter into any transactions under the use of this website.

(2) You have used and provided your real name according to your ID card, passport, or other government-issued documents at the time of the user account opening.

(3) You open a user account for your own use and service only and have not opened an account for the benefit of any other person.

(b) For legal entities, you agree to warrant and confirm that:

(1) You have used and provided various names correctly, completely, and currently as registered with relevant government agencies at the time of the user account opening request, such as legal entity name according to certified copy of legal entity certificate, natural person name according to copy of power of attorney (if required), and copy of company director's ID card, etc.

(2) You warrant and confirm that the legal entity representative who enters into the contract and registers the account has legal authority to act on behalf of the entity.

(3) You open an account for your own use and service only and have not opened an account for the benefit of any other person.

3.3 Khmer Auction reserves the sole right to delete any user account creation in all cases, and we have no obligation to disclose the criteria for such consideration.

3.4 You consent to allow us to verify your identity, address, email address and contact phone number at any time, and you agree to warrant to us that the information you have provided is accurate and truthful. If you change your name, trade name, address, phone number, or important details, then you agree to notify us within no more than 30 (thirty) days after such name or detail changes. This is for the benefit of maintaining your service usage rights, otherwise communication from us to you shall be deemed properly delivered.

3.5 You acknowledge and agree that you have the duty and responsibility to maintain the confidentiality and security of your user account. You will not disclose passwords or security codes in your possession to others, except for disclosure to your employees, staff, or authorized representatives for use on your behalf.

3.6 Login using your password at any time shall be deemed as your own action, whether or not such action is within your knowledge. You understand well that the actions of users you assign or authorize to use your user account are not under Khmer Auction’s control. Therefore, if such user actions cause damage or loss of benefits to you, we will have no responsibility toward you whatsoever. If you become aware of unauthorized access to your user account, you agree to notify us immediately.

3.7 In cases where there are reasonable grounds to believe that there has been a violation of these Terms of Use that may cause damage to us or to any other service recipient, we have the right to suspend or revoke access to your user account, including the right to delete such user account from the system, and we reserve the right to demand that you compensate for any damages that occur.

3.8 Except for cases under Section 3.5, you shall not transfer the right to use your user account to others without obtaining our written consent.

4. Usage Restrictions

4.1 For security, you acknowledge and understand that every log in to your account on Khmer Auction is considered as your acceptance of the Terms of Use.

4.2 In cases where your username and password are used by unauthorized external parties, you have the duty to immediately notify Khmer Auction of such incidents so that we can implement measures to prevent and resolve such problems promptly. Such measures are implemented solely to assist you; Khmer Auction has no responsibility to you or others for any defects or consequences of implementing such measures, and when you register for the service, you are deemed to have given advance consent to Khmer Auction for implementing such measures.

4.3 You must not perform or attempt to perform any actions that are harmful to the security of Khmer Auction's computer systems or networks and those of external parties that Khmer Auction uses in providing services.

4.4 You must not send or input any data or documents to the website that may cause damage to Khmer Auction’s hardware or software equipment, or that of external parties Khmer Auction uses in providing services, or other service recipients, including sending or inputting data or documents that violate the law or that you have no legal right to use.

4.5 You must not use Khmer Auction's services to support or use in ways related to any activities or businesses with purposes expressly prohibited by law. If such actions are discovered, Khmer Auction reserves the right to delete your user account from the system without prior notice and will not refund any money you have already paid to us. Khmer Auction has no responsibility for any damages to you who violate or to external parties.

4.6 You acknowledge and accept that in the normal operation of Khmer Auction’s website services, which operate through computer processing and the internet, may not be under Khmer Auction’s control to be available at all times. At any time, we may temporarily close or suspend system access for the benefit of maintenance, troubleshooting, threat prevention, or service development from time to time without prior notice, and this shall not be considered a violation of these Terms of Use. Khmer Auction may have backup measures to mitigate emergency disruptions on a case-by-case basis.

5. Khmer Auction’s Duties, Role and Limitations

5.1 We do not own or act as custodian and caretaker of the items brought to auction in any manner.

5.2 All information regarding every item we bring to auction, whether facts, history, images, data, or documents related to the items we put up for auction ("Auction Item Information"), is information we have received based on warranties from the sellers, where the sellers are the ones who provides such information entirely by themselves.

5.3 We have no duty to verify the Auction Item Information. Therefore, we cannot guarantee to you that the Auction Item Information will be completely accurate and true. We strongly recommend that you conduct detailed verification of the Auction Item Information before deciding to participate in bidding for items.

5.4 When an item is sold, the buyer must fund the full payment + Khmer Auction’s fees in the escrow account. The system will then automatically email both the buyer and seller with their contact details in order to arrange shipment between them.

6. Item Auction Participation

6.1 Khmer Auction uses ABA Bank (Advanced Bank of Asia) and their payment gateway, ‘Payway’. Anyone who wishes to bid in auctions must confirm they can pay with any of the following payment methods to be eligible to bid:

(1) Credit/debit cards, ABA Pay, KHQR, WeChat Pay, Alipay or Google Pay.

6.2 You must have a user account if you wish to participate in online auctions on our website. These Terms of Use will be enforced upon you, which is considered that you have agreed to be bound by such terms of Use when you agree to open a user account according to Section 3.1. Therefore, we strongly recommend that you understand these Terms of Use in detail for your own benefit.

7. Agreement on Item Bidding

7.1 Participation in item bidding, at any time, under the use of your user account, constitutes a clear indication of your intention to bid, and you acknowledge that you have carefully and thoroughly considered the Auction Item Information for the items you are bidding on to your satisfaction before participating in the auction.

7.2 You warrant that you understand the various limitations of the items you are bidding on, including but not limited to the market value of the items, specific characteristics, defects, or historical information that affects the value of the items you are bidding on.

7.3 You have understood the rules and procedures of the auction in detail before participating in the bidding.

7.4 You acknowledge that the Auction Item Information may be incomplete, and you understand and accept such risks in all respects.

7.5 You shall not conduct bidding with the intention of using fraudulent methods in any form. We reserve the right to suspend your bidding rights without having to notify you immediately if we find that you have engaged in any actions that constitute fraud in the auction, and may consider deleting your user account from the system, as well as taking any necessary actions to suspend, prevent, or mitigate any damage that may occur to the auction.

7.6 You acknowledge that we may consider requiring verification of evidence of your financial capability before allowing you to participate in bidding in cases where the auction has significantly high value, which we will notify you in advance before the auction if it is necessary to carry out such procedures.

8. Duties and Binding Obligations in Bidding

8.1 You cannot withdraw your bid once you have submitted a bid, including the highest bid made through our proxy bidding system (Max Bid).

8.2 When the auction ends with you as the winning bidder, you shall have the following duties and binding obligations:

(1) Complete the purchase transaction for the item you won at auction by paying the full amount to the escrow account within (3) business days from the auction closing date.

(2) After funding of the escrow account, you and the Seller must agree between yourself about shipping of the item or transfer of ownership.

(3) If you are an international Buyer living outside of Cambodia, then you are obligated to pay the Seller in full for shipping. If you fail to pay for shipping outside of Cambodia, then the Seller has the right to cancel the transaction.

- The escrow payment will be returned to you, and your user account will be suspended and you will become blacklisted from Khmer Auction.

(3) Take any other necessary actions to ensure that the purchase transaction for the item you won at auction is legally complete.

(4) We have no responsibility for the condition of the items or delivery of items you won at auction. You are responsible for arranging inspection of the items and agreeing on delivery conditions with the seller yourself.

8.3 Failure to complete the purchase transaction with the Seller after winning the auction constitutes a breach of contract with both Khmer Auction and the Seller. We reserve the right to take any necessary actions, including suspending your user account and taking legal action to demand that you be liable for any damages that may occur to Khmer Auction in all respects.

9. Special Terms and Conditions for the Seller

9.1 Sellers are strictly required to provide accurate, detailed descriptions, photographs, and condition reports of their items.

9.2 If an item is significantly misdescribed, damaged, or counterfeit, sellers are held liable and can (at Khmer Auction’s sole discretion) result in reversed sales, platform penalties, or banned accounts.

9.3 The seller agrees to pay the Final Value Fee if the posted item/property sells. The fee will be deducted from the payment secured in escrow by the Buyer upon release to the Seller. The Final Value Fee is calculated with a percentage system based on the final ‘hammer’ price of your item.

9.4 Sellers may also be subjected to transaction fees for transferring the funds from the platform's escrow or merchant account to their own bank.

9.5 Sellers must pay for any optional service upfront before the service is activated.

9.6 Sellers are barred from canceling an auction or removing an item once a bid has been placed.

9.7 Sellers are legally obligated to ship the item to the winning bidder, or transfer ownership of the item, within three (3) business days after notification of the payment being secured in escrow.

9.8 It is up to the seller and buyer to agree upon a possible return of the item, if the item does not fully match the listing. If the Seller and Buyer fully agree on a return, then they must notify Khmer Auction and we will release the payment in escrow back to the Buyer.

• If the Buyer and Seller do not agree on a return of the item, then both the Seller and Buyer have the right to activate a dispute (see Section 17).

9.9 The sellers are allowed to set a “reserve price”, namely the minimum hidden price they are willing to accept. If the bidding does not reach this amount, the Seller is not obligated to sell.

9.10 Shill bidding prohibition: Sellers are strictly forbidden from placing phantom bids on their own listings to artificially drive up the price. This practice is considered fraudulent and a breach of these Terms of Use. Such action results in suspension of your right to participate in any future auctions with Khmer Auction.

9.11 Sellers understand that all payments from Buyers are sent to Khmer Auction’s Escrow Service. The Buyer holds the payment in escrow until the item is received and verified.

10. Store

Our Store feature operates by giving independent vendors their own branded storefronts to sell items through traditional auctions, fixed-price "Buy Now" catalogs or "Add to Cart" methods.

Vendor Storefronts

Individual sellers can customize the look and feel of their dedicated pages with custom branding, themes and banners.

Inventory Management

Sellers can upload single items or bulk import entire catalogs via CSV uploads. Products can be categorized and tracked through sophisticated backend dashboards.

Sales Methods

The software combines auction bidding with a modern shopping cart experience. A seller can offer an item for auction while simultaneously offering an "Add to Cart" or "Buy It Now" price, allowing buyers flexibility in how they purchase.

Backend Controls

Store owners set custom tax profiles, personalize shipping rules, and define return management procedures directly within the system

Revenue Streams

All payments through Stores are also operated by our automated Escrow system.

11. Reserve Price

You understand that some auction items may have a minimum selling price set by the Seller (Reserve Price). If the price offered by the winning bidder is not greater than or equal to the minimum price set by the Seller, your winning bid will not immediately create an obligation to complete the purchase transaction with the Seller, and the Seller has the right to refuse to sell the item for that winning bid, unless the Seller accepts the price offered by the winning bidder.

12. Website Access and Usage Restrictions

Khmer Auction reserves the right at our sole discretion to temporarily or permanently terminate, end, or limit your access to the website and related services, or any part of such website or services, without prior notice if we discover that you have violated the Terms of Use, particularly Sections 4.3, 4.4, and 4.5, for which Khmer Auction shall have no responsibility to you in any respect.

13. Intellectual Property

Unless otherwise specified, Khmer Auction owns copyrights and intellectual property in all content, including images, designs, symbols, photographs, video clips, animations, content, etc., and other content that is part of the website that is copyrighted, trademarks, trade dress, designs, and/or other intellectual property protected by intellectual property protection laws, except for parts that are trade names or trademarks of our customers or other persons, or parts that are clearly specified otherwise. No one may copy, reproduce, duplicate, backup, imitate, replicate, modify, or add for distribution for any other purpose in our intellectual property without written consent from Khmer Auction.

14. Links to Other Websites

14.1 This website may have links to advertisements or information about other external services presented by third parties. You understand that Khmer Auction is not involved in, has no decision-making authority, control, or endorsement of the accuracy of the content of such services, including no guarantee regarding security system violation issues that may arise from connecting to such third-party services. If you have any concerns or complaints regarding connections to such third-party service provider websites, you will contact such service providers directly yourself.

14.2 This website may link to other websites related to other Khmer Auction services or services of service providers related to Khmer Auction, and such other websites may have separate terms and conditions beyond these Terms of Use, which you agree to be bound by such terms and conditions only in parts that have different content or conflict.

15. Fees and Payment

15.1 Khmer Auction and/or third-party business partners reserve the right at their sole discretion to determine acceptable payment methods for specific services or products. You are obligated to pay for all goods and services completely and within the payment deadline for goods and/or services selected or reserved through the website. You are obligated to pay other related costs, including but not limited to taxes, shipping charges, insurance fees, and other expenses (if any).

15.2 If you make any type of online payment, you warrant and guarantee that (a) the credit card, debit card, and bank account information you provide is true, accurate, and complete (b) the card is issued in your name and charges incurred by you will be paid by your credit/debit card company or bank. Additionally, you agree and authorize us to:

(1) Submit transactions using the card or financial information you provide

(2) In case of authorized recurring transactions, submit transactions using the recurrence basis (such as monthly or annual) for renewals

(3) If necessary, charge you proportionally (as specified) in accordance with specific fee conditions for the goods or services you are purchasing or registering for, and

(4) If necessary (and relevant), charge through your mobile service provider via mobile application if you authorize us to do so. You can cancel your service for ongoing transactions/services at any time by contacting our customer service at auction@b3h.solutions or using other methods specified on the website.

15.3 You are responsible for all costs related to the purchase transaction for items you won at auction, including but not limited to money transfer fees, currency conversion costs, and other related expenses, unless otherwise agreed with the seller.

15.4 When the auction is completed with you as the winning bidder, you must deposit the full amount for the item + Khmer Auction’s fees in your escrow balance within no more than three (3) business days and take delivery of the item within 15 business days from the auction end date. If you fail to comply with such requirements, then Khmer Auction reserves the right to cancel your right to purchase said item and suspend your right to participate in any future auctions with Khmer Auction.

15.5 Khmer Auction reserves the right at our sole discretion to change our fees at any time. The current and valid fees are always listed on the websites www.khmer.auction and www.b3h.solutions.

15.6 Khmer Auction reserves the right to collect, use, and disclose information of system users who have been granted the right to participate in auctions to business partners and affiliated companies for the purpose of risk assessment and management, including maintaining the reliability standards of the auction process. This may include disclosure of such information to financial service providers for the purpose of providing financial services related to Khmer Auction, within the scope and conditions specified in Khmer Auction’s Privacy Policy and in accordance with personal data protection laws.

16. Escrow Service

16.1 Our Escrow Service is free of charge, but mandatory. We force escrow payments to ensure the security of payments for all parties and to fully block any attempts at fraud or scam.

16.2 Only Khmer Auction can return escrow payments to buyers.

17. Disputes

The Seller and Buyer have the right to dispute:

• Escrow Payments

Both the Buyer and the Seller can activate a dispute within 15 days after the winning bid.

Criteria

If the Buyer did not receive the item or there has been no transfer of ownership of property.

If the item the Buyer received is severely damaged or misconfigured, the item is not the same as listed or the item is of far less quality than posted.

• The Buyer must ship the item back to the Seller at his own cost and email proof of shipment to Khmer Auction before the escrow payment can be released back to him.

The Seller can activate a dispute if the Buyer fails to release the escrow payment after receipt/transfer of ownership.

• The Seller must email proof of shipment to Khmer Auction before the escrow payment can be released to him.

The Seller can activate a dispute if the Buyer lives abroad and refuses to pay for the shipment in full.

• Both the Buyer and Seller must confirm this fact via email to Khmer Auction before the escrow payment can be returned to the Buyer.

18. Limitation of Liability

18.1 You acknowledge that although Khmer Auction has the intention and makes every effort to provide website services according to these Terms of Use with full efficiency, Khmer Auction cannot guarantee that your service use will be free from defects (including but not limited to stability, reliability, accuracy, completeness, effectiveness, suitability for certain purposes, security defects, errors, computer bugs, or viruses). This is because systems related to service provision, whether communication systems, computer systems, or the internet, inherently have uncertainties that may cause interference or obstacles to your use of our services, and providing services with such limitations will not be considered a breach of contract, and we are not responsible to you for any damages from the above causes.

18.2 You understand well that Khmer Auction is merely a platform service provider and intermediary to facilitate connections between buyers, through auction participation, and sellers through our website only. Khmer Auction has no responsibility for accuracy, completeness, liability, losses, or damages of any kind in transactions or actions between buyers and sellers and does not provide any warranties or guarantees related to any items posted on the website, except for items clearly specified as being sold by Khmer Auction itself.

18.3 Khmer Auction can arrange, collect, manage, share, and distribute seller information in any form to promote contact between sellers and interested buyers, and between the Khmer Auction website and interested buyers. Khmer Auction does not guarantee that information, images, or any media that sellers have authorized Khmer Auction to arrange and display on the website is accurate. Khmer Auction is not an agent, partner, or acting on behalf of sellers. Therefore, Khmer Auction has no obligation to compensate for any losses, damages, or costs arising from seller information or any information provided by sellers.

19. Shipping and Transfer of Ownership

Khmer Auction does not offer any shipping service or assistance with transfer of ownership. The seller and buyer are responsible for arrangements between themselves.

21. No Return Policy

Khmer Auction has a strict No Return Policy. Any payments made to Khmer Auction for our services are under any circumstances considered final.

22. Consequences of Breach of these Terms of Use

Khmer Auction monitors the platform very strictly. The consequences of any breach of these Terms of Use will be:

• Deletion of the user’s account
• Any outstanding balance in the user’s account will be forfeited and kept by Khmer Auction as payment for any damages
• Permanent blacklisting from Khmer Auction
• Depending on what kind of breach and its severity, it may be reported to Law Enforcement or the Appropriate Authorities

23. Scammers

23.1 BE AWARE AND VIGILANT! There are many scammers online these days, especially in Cambodia. Our beloved government is doing a great job in putting a stop to these individuals participating in scamming and fraud. There are especially many scammers on Facebook selling various items - they ask for payment upfront but never ship the item(s). There are also many phone scams where they pretend to be working for well-known companies like by example Metfone or Prasac, telling you that there is a discount if you pay today or they are asking for your payment details due to flaws in their computer system.

23.2 In order to create a 'SCAM FREE' platform, all payments go through our escrow service (free of charge). Everybody is then guaranteed not to be scammed. Buyers can rest assured that they will receive the item and can validate it before they release the payment to the seller. The sellers can also rest assured that they will be paid - they only ship the item after receiving a notification on their dashboard that the money is safe in escrow.

23.3 RED FLAG! Many internet fraudsters operate by setting up fake auction sites and insisting buyers use a "free" or specific escrow service of the scammer's choice. If the seller or a random third party is forcing you to use a random, unfamiliar escrow service, then it is likely a scam.

24. Marketing Policy

You agree that Khmer Auction can, at their own discretion, advertise on any social media outlet and/or use any other marketing platforms, media or services to assist with/promote the sale of your item.

25. Force Majeure

25.1 When force majeure occurs and directly affects you or us such that we cannot comply with any provision in these Terms of Use, the contracting party affected by force majeure must notify the other contracting party of such cause and impact on compliance with any provision as quickly as possible, and agree to comply with these Terms of Use immediately when able to resume action. Both contracting parties agree that the affected contracting party shall not be responsible to the other contracting party for defects, failures, or delays in compliance with Terms of Use due to such force majeure.

25.2 For the purposes of these Terms of Use, "force majeure" means any cause that has occurred or will result in disaster, being a cause that cannot be prevented even if the contracting party that must experience or is about to experience such event has taken reasonable care as could be expected in such position and circumstances, including but not limited to failures in services of network communication, telecommunications, and internet service providers, fire, flood, storm, war, riots, terrorism, pandemics, widespread employee or worker strikes that impact beyond just the contracting party's organization, and not strikes initiated by the contracting party's employees or workers.

26. Indemnification

In cases where Khmer Auction, parent companies, subsidiaries, affiliated companies, including officers, directors, agents, employees, or partners, suffer any damages arising from website use that violates any provisions in these Terms of Use, you agree to compensate for any such damages, including attorney fees and any legal proceeding costs.

27. Communication

Any communication between Khmer Auction and buyers or sellers under these Terms of Use shall be deemed complete when sent by email to the provided email address details. All notifications or communications sent according to the above condition shall be deemed received by the recipient on the date and time it was emailed.

• ALL our communication details are listed on our websites. If you receive communication from any other (or similar) email address or phone number and the person is pretending to represent us in any way, then DO NOT entertain/answer this person

28. Censor

28.1 Public Profile Censor
